This Public Offer Agreement (hereinafter — the Agreement) defines the terms of service for using the SpeechDesk online platform (hereinafter — the Platform) and constitutes an official proposal (public offer) by FOP Kopach Volodymyr Valeriiovych to any individual or legal entity (hereinafter — the Customer). Payment for services or registration on the Platform constitutes full and unconditional acceptance of this offer in accordance with Articles 641 and 642 of the Civil Code of Ukraine.
1.1. This Agreement is a public offer in accordance with Articles 633 and 641 of the Civil Code of Ukraine. 1.2. The Provider is FOP Kopach Volodymyr Valeriiovych, who provides access to the SpeechDesk Platform. 1.3. The Customer is an individual or legal entity who has accepted this offer by registering on the Platform or paying for services. 1.4. Acceptance of the offer is registration on the Platform, payment for services, or actual use of the Platform. 1.5. The Agreement is considered concluded from the moment of acceptance and remains valid until terminated by either party.
2.1. Platform — the online service SpeechDesk (speechdesk.app), accessible via web browser. 2.2. Services — providing access to Platform functionality under a subscription model (SaaS). 2.3. Subscription — a paid period of access to the Platform according to the selected plan. 2.4. Plan — a set of conditions and access limitations to the Platform (number of clients, features). 2.5. Personal Account — a personalized section of the Customer on the Platform, accessible after authorization. 2.6. Content — any data that the Customer uploads or creates on the Platform.
3.1. The Provider grants the Customer access to the SpeechDesk Platform for automating speech therapy practice. 3.2. The Platform includes features: client management, lesson scheduling, homework management, parent communication, and payment tracking. 3.3. The scope of available functionality is determined by the selected plan. 3.4. Current plans and pricing are published at speechdesk.app.
4.1. Access to the Platform is provided after Customer registration. 4.2. The Platform is available 24/7, except during maintenance periods. 4.3. The Provider makes reasonable efforts to ensure uninterrupted operation but does not guarantee 100% availability. 4.4. The Provider may perform maintenance with prior notice to the Customer. 4.5. New users receive a free trial period of 14 days.
5.1. Service pricing is determined by the selected plan published at speechdesk.app. 5.2. Payment is made in Ukrainian hryvnias (UAH) through the payment system integrated into the Platform. 5.3. Subscription is prepaid: monthly or annually, depending on the selected period. 5.4. Annual payment includes a discount according to current pricing. 5.5. The Provider may change pricing with 30 days prior notice. 5.6. Price changes do not affect already paid subscription periods.
6.1. The Customer is entitled to a refund within 14 calendar days from the first payment. 6.2. For annual subscriptions, the refund is calculated proportionally to the unused period. 6.3. After the 14-day period, refunds are not provided. 6.4. To request a refund, the Customer sends a request to kpchvldmr@gmail.com or Telegram @SpeechDesk. 6.5. Refunds are processed via the same payment method within 14 business days.
7.1. The Provider is obligated to: — ensure Platform functionality; — protect Customer's personal data; — provide technical support; — notify about significant changes to the Platform. 7.2. The Customer is obligated to: — provide accurate information during registration; — comply with this Agreement; — not share login credentials with third parties; — not attempt unauthorized access to the Platform; — use the Platform only for its intended purpose.
8.1. Parties are liable in accordance with applicable Ukrainian law. 8.2. The Provider is not liable for damages caused by force majeure. 8.3. The Provider is not liable for the operation of third-party services (payment systems, hosting, ISPs). 8.4. The Provider's liability is limited to the amount paid by the Customer for the last month of subscription. 8.5. The Customer is solely responsible for backup and preservation of their Content.
9.1. The Provider processes personal data in accordance with Ukrainian data protection law and the Privacy Policy. 9.2. Data is stored on encrypted servers using modern security methods. 9.3. The Provider does not share personal data with third parties without Customer consent, except as required by law. 9.4. Detailed data processing terms are defined in the Privacy Policy at speechdesk.app/privacy.
10.1. All disputes are resolved through negotiation. 10.2. If agreement cannot be reached, disputes are resolved in accordance with applicable Ukrainian law. 10.3. Ukrainian law applies to this Agreement.
11.1. The Agreement takes effect from the moment of acceptance and is valid indefinitely until terminated. 11.2. The Provider may amend the Agreement with 30 days prior notice. 11.3. Continued use of the Platform after amendments take effect constitutes acceptance of the new version. 11.4. Either party may terminate the Agreement by notifying the other party.
